• Draft and negotiate complex data sharing agreements, network participation agreements, HIPAA business associate agreements, and related instruments with health plans, health systems, health information exchanges, and others • Provide legal and regulatory guidance to internal and external stakeholders regarding information privacy compliance, data use rights, federal and state-specific consent requirements, and related network governance • Manage and supervise the company’s Contracts Attorney as he facilitates the rapid expansion of the Collective Network by negotiating the terms of SaaS subscription agreements, BAAs, and related instruments with over 2,500 subscribers in 24 states (up from about 500 subscribers in four states in 2016) • Supervise and assist outside counsel in connection with the company’s $47.5 Million Series A financing • Manage the company’s cap table, investor communications, and investor data rooms • Prepare board meeting minutes and written consents on all corporate governance matters as secretary pro tem • Draft, amend, and maintain all general and employee-specific agreements and instruments related to the company’s employee stock incentive plan • Coordinate with the company’s HR personnel to oversee all employment matters and documentation • Draft, review, and negotiate the terms of various other contracts, including professional services agreements, commercial real estate leases, consulting agreements, reseller agreements, MOUs, NDAs, etc. • Report directly to the company’s President and Chief Operating Officer
