Concentrating in corporate finance and general corporate practice with a broad scope of transactions, including negotiating and drafting of lending, stock purchase, licensing, distribution, marketing and joint venture agreements and financial consulting documentation, ranging from joint ventures and debt and equity investments into Central and Eastern European manufacturers by U.S. investment funds to $250 million debt restructuring of a U.S. telecommunications company, among numerous others. Supervised and trained staff in the Moscow office and acted as a senior attorney for the Russian practice; negotiated, drafted and executed transactions for the CIS practice group. The range of transactions includes: secured and unsecured lending representing lenders and borrowers, private placements, aircraft leasing, resource recovery facilities project financing and municipal bonds refinancing, as well as joint ventures and strategic partnerships and marketing and distribution agreements for projects in Russia and Ukraine, such as $200 million municipal bonds refinancing of an US waste-to-energy facility and $300 million petrochemical plant financing by a Finnish company, among numerous others. Extensive teaching and lecturing on topics of American entrepreneurship and legal system. Trained and supervised Russian attorneys under the auspices of the American Bar Association. Extensive lecturing to business managers, executives and entrepreneurs in the former USSR and USA.
