Security National Servicing Corporation

General Counsel

Security National was a privately owned investment company which acquired and serviced distressed, sub-performing and non-performing mortgage loan portfolios. During my tenure with this company I created the first in-house legal department for the company and implemented case management systems and cost controls. My responsibilities as General Counsel included the review, negotiation, drafting and closing of acquisition contracts for distressed mortgage loan portfolios. I also negotiated and reviewed financing agreements for those acquisitions including multiple financing facilities each in excess of $100,000,000. My responsibilities also included conducting legal and financial due diligence review of distressed mortgage loan portfolios prior to their acquisition and to make recommendations to senior management regarding the purchase of those portfolios. I was also responsible for legal oversight of loan servicing with third party servicing agents and principals. As General Counsel, I also had responsibility to supervise more than 400 law firms nationwide and all corporate legal matters for seven offices nationwide including commercial litigation, defense matters, corporate filings for the company’s numerous limited partnerships and affiliated companies as well as commercial and consumer foreclosures, bankruptcies and real estate sales.

My responsibilities as General Counsel for Mundaca Investment Corporation were similar to those described above for my tenure at Security National. Mundaca Investment Corporation’s assets were acquired by Security National in May of 1996. As part of that transaction, I was hired by Security National as its General Counsel.
